Terms Of Use
These Terms and Conditions of Sale (“Terms and Conditions”) set forth the terms and conditions applicable to the sale of goods by the Seller to the Buyer. The “Seller” and the “Buyer” shall be as defined and identified in the Seller’s quotation, or if not identified therein, as stated and identified in the Seller’s order confirmation. These Terms and Conditions and any accompanying documents of the Seller constitute the entire agreement between the Buyer and the Seller, and any offer by the Seller is expressly limited to these Terms and Conditions. Furthermore, acceptance by the Seller of any offer made by the Buyer is expressly conditional upon the Buyer’s agreement to these Terms and Conditions. Any terms printed on the Buyer’s purchase order or other documents shall not be deemed to constitute a counteroffer or objection, whether specific or general, and such terms are hereby rejected. Notwithstanding anything to the contrary herein, any reference to the Buyer’s purchase order or other documents shall not imply acceptance of any terms, conditions, or instructions contained therein.
1. Quotation
Quotations and prices are valid only for the specific periods stated in the written quotation. If no validity period is specified, quotations and prices are subject to change without prior notice. Purchase orders based on quotations shall not be binding upon the Seller until accepted in writing by an authorized representative of the Seller.
2. Taxes
An amount equal to any present or future governmental taxes, fees, or charges imposed on the manufacture, sale, use, transportation, storage, or delivery of goods shall be added to the quoted price and shall be paid by the Buyer.
3. Payment Terms
Unless otherwise stated, prices and payment terms shall be as specified in the Seller’s quotation or order confirmation. The Seller reserves the right to modify credit terms or require advance payment or security at any time. Overdue amounts shall bear interest at a rate of 18% per annum or the maximum rate permitted by law. The Buyer shall be responsible for all reasonable legal and collection costs incurred by the Seller. If the Buyer’s financial condition is deemed unsatisfactory, the Seller may delay shipment or terminate the agreement without waiving other rights.
4. Force Majeure
Orders and deliveries are subject to events beyond the Seller’s reasonable control, including but not limited to pandemics, strikes, labor disputes, acts of God, machinery breakdowns, governmental actions, fire, terrorism, floods, or other similar events (“Force Majeure”). The Seller shall not be liable for delays or shortages caused by such events and may allocate available goods among customers in a fair and reasonable manner.
5. Delivery
Unless otherwise agreed in writing, delivery shall be made in accordance with Incoterms® 2020 – Ex Works (Seller’s facility). Title and risk of loss shall pass to the Buyer upon transfer of control or invoicing, whichever occurs first. Delivery dates are approximate and delays shall not constitute grounds for order cancellation.
6. Inspection and Acceptance
The Buyer shall inspect the goods within eight (8) days from the invoice date (“Inspection Period”). Any claims must be made in writing within the Inspection Period. Failure to do so shall constitute acceptance of the goods. Returned goods require prior written authorization from the Seller.
7. Specifications
The Seller may substitute goods that are substantially equivalent to those described in the order. All goods are subject to standard manufacturing tolerances.
8. Limited Warranty
The warranties stated herein are the sole warranties provided by the Seller. All other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are expressly disclaimed. The Seller’s sole obligation shall be, at its option, to replace defective goods or issue a credit, provided that timely written notice is given and the goods are returned in accordance with Seller instructions.
9. Limitation of Liability
The Seller’s liability shall not exceed the contract price of the goods. In no event shall the Seller be liable for indirect, incidental, special, or consequential damages, including loss of profits or business interruption, regardless of the theory of liability.
10. Indemnification and Insurance
The Buyer agrees to indemnify and hold harmless the Seller from any claims arising out of the use or resale of the goods. The Buyer shall maintain adequate insurance and provide proof upon request.
11. Cancellation
Custom-made or special-order items are non-cancellable and non-returnable. Stock items may be canceled within 48 hours and are subject to a minimum restocking fee of 15%.
12. Orders and Order Confirmation
Orders may be placed via the SON Industrial website. A sales contract is effective only upon confirmation by SON Industrial. In case of out-of-stock items or incorrect listings, SON Industrial reserves the right to cancel the order and refund any payments made.
13. Payment Methods
Accepted payment methods include:
- Bank transfer
- Cash on delivery (COD)
- Online payment via cards or e-wallets (if available)
All online payments are processed through secure payment gateways compliant with PCI DSS standards.
14. Delivery and Shipping Costs
Nationwide delivery is available. Estimated delivery time and shipping costs will be clearly communicated. Risk of loss transfers to the Buyer upon handover to the carrier, unless otherwise agreed.
15. Order Cancellation Policy
Orders may be canceled before shipment. Once shipped, cancellations are treated as returns and subject to the Return and Refund Policy.
16. Effectiveness and Amendments
These Terms are effective upon publication on the website. SON Industrial reserves the right to amend them at any time without prior notice. Customers are responsible for reviewing updates.
17. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Vietnam. Disputes shall first be resolved through negotiation; failing which, they shall be submitted to the competent court at the Seller’s registered office.
In addition to these Terms, access to and purchases on the SON Industrial website are also subject to the Privacy Policy and Return and Refund Policy published on the website footer.
